About the Role
We are seeking a motivated and commercially minded lawyer with approximately 2–3 years of transaction experience at a reputable law firm or in-house supporting M&A, who is looking to transition either transition in-house, or continue to build a career focused on M&A, corporate transactions, and strategic growth initiatives.
This role offers the opportunity to work directly with senior executives and business leaders on acquisitions across Canada and the US, managing transactions from initial diligence through closing and post-closing elements.
Bilingualism is strongly preferred given the Company's significant operations and acquisition activity in Québec.
Key Responsibilities
- Lead and support acquisitions from letter of intent through signing, closing, and post-closing elements.
- Manage and lead the development and negotiation of all asset and share purchase transactions, and supporting ancillary agreements
- Conduct and oversee comprehensive legal due diligence reviews across corporate, commercial, employment, litigation, regulatory, environmental, IP, real estate, privacy, and other key risk areas.
- Identify transaction risks and liabilities and develop practical recommendations and mitigation strategies for business stakeholders.
- Manage acquisitions principally in-house, while coordinating external counsel only as required for specialized advice or local jurisdictional matters.
- Support post-closing elements, including contract assignments, permit transfers, employee matters, implementation of transaction-related obligations, and escrow and working capital settlements.
- Contribute to the development and standardization of acquisition processes, due diligence procedures, precedent documents, and transaction playbooks.
- Manage multiple concurrent transactions in a fast-paced, acquisition-driven environment.
Qualifications
- J.D. or LL.B. from an accredited law school.
- Member in good standing of the law society of Ontario
- Approximately 2–3 years of post-call experience in transaction advisory at a reputable law firm.
- Experience in M&A, corporate, securities, private equity, or commercial transactions.
- Thrive in a high-volume acquisition environment where multiple transactions, urgent issues, and competing priorities require sound judgment, responsiveness, and a solutions-oriented mindset.
- Able to remain effective under pressure and navigate difficult conversations and negotiations with professionalism and confidence.
- Self-starter with a strong work ethic, a sense of urgency, and a desire to take ownership of transactions from inception through integration.
