RAJWANS is seeking an experienced Corporate/Commercial Lawyer to join the firm as Contract Counsel within its Corporate and Commercial practice.
This position is ideal for a lawyer who enjoys the practice of law and wants to assume meaningful responsibility for corporate and commercial matters without the pressures of business development or a traditional large-firm environment.
The successful candidate will work closely with the Principal Lawyer while independently assuming carriage of assigned matters from commencement through completion. The role offers significant autonomy, flexibility and the opportunity to help shape the future direction and growth of the practice.

The Opportunity
The successful candidate will assume primary responsibility for assigned corporate and commercial files.
The Principal Lawyer will remain available for strategic guidance, complex legal issues and client relationship support; however, the successful candidate will be expected to independently manage and advance assigned matters on a day-to-day basis.
The successful candidate will not be expected to generate clients or build a personal practice. The firm's focus is on providing excellent legal services while allowing lawyers to concentrate on practising law.
Unlike a traditional associate position, this role is designed for an experienced lawyer seeking a flexible, long-term practice focused on delivering excellent legal work .
The successful candidate will enjoy substantial autonomy and will be trusted to exercise sound professional judgment while working within a collaborative boutique practice.
Responsibilities
The successful candidate will:
- Assume carriage of assigned corporate and commercial matters from commencement through completion.
- Exercise primary responsibility for moving assigned matters forward and determining the next steps required to advance each file efficiently.
- Develop and implement practical legal strategies appropriate for each matter.
- Manage client communications throughout the conduct of the file.
- Maintain responsibility for file organization, workflow management and timely completion of assigned matters.
- Prepare, review and negotiate legal documents and agreements.
- Identify legal issues requiring strategic consultation with the Principal Lawyer.
- Record billable time accurately.
- Participate in billing and file management where appropriate.
- Work collaboratively with a Corporate Law Clerk to ensure matters are completed efficiently and accurately.
- Delegate appropriate work to the Corporate Law Clerk and review completed work.
- Assist in developing efficient workflows and legal precedents for the practice.
Qualifications
The successful candidate must be capable of independently assuming carriage of files with minimal supervision.

- Demonstrated experience in corporate and commercial law, including the ability to independently manage files from commencement through completion.

Compensation
This is an independent contractor position.
Compensation will be based on an agreed hourly rate and/or agreed fixed fees, depending on the nature of the assigned work. The compensation structure and payment terms will be discussed with the successful candidate.
The workload is expected to grow over time as the practice continues to expand.
Success in this Role
The successful candidate will become the primary lawyer responsible for advancing assigned corporate and commercial matters while working collaboratively with a Corporate Law Clerk and consulting with the Principal Lawyer on significant legal, strategic and client relationship issues.
Success in this role will be measured by the delivery of exceptional legal service through sound judgment, efficient file management and practical solutions for clients.
