Role Overview
Mosaic Holding Corporation is seeking a Corporate Lawyer with deep experience in development, construction, and architectural consulting to join our growing legal and corporate governance team.
This individual will provide strategic legal counsel to support MHC’s investment activities, operational frameworks, and subsidiary companies. The ideal candidate combines technical legal acumen with commercial awareness, helping structure projects, contracts, and partnerships that drive growth while mitigating risk.
Key Responsibilities
- Advise on and draft complex construction, engineering, and architectural consulting contracts, including EPC, design-build, joint venture, and professional services agreements.
- Support corporate transactions such as mergers, acquisitions, and restructuring of mid-cap companies within the group.
- Provide legal oversight on development projects, including permitting, land use, and regulatory compliance.
- Guide subsidiary firms on matters related to risk management, liability, insurance, and contract performance.
- Collaborate with internal teams on project finance, procurement, and commercial negotiations.
- Ensure compliance with local and international corporate, environmental, and construction laws across MHC’s jurisdictions
- Draft and maintain templates, policies, and governance frameworks for consistent legal standards across the group.
- Coordinate with external counsel and consultants as needed.
Qualifications
- LL.B. or J.D. with active membership in a Canadian law society (Alberta preferred).
- Minimum 5–8 years of experience in construction, development, or architectural/engineering consulting law.
- Proven experience negotiating and drafting complex commercial contracts in multi-stakeholder environments.
- Strong understanding of construction law, professional liability, project finance, and corporate governance.
- Exceptional analytical, communication, and negotiation skills.
- Ability to work across international projects and multidisciplinary teams.
- Experience within an investment firm, design consultancy, or engineering environment is a strong asset.
