KH/Dunkley Law Group is a leading law firm with lawyers practising in all aspects of real estate law, corporate law, and wills and estates, offering comprehensive legal services to a diverse range of clients. We are seeking a highly organized and detail-oriented Corporate Paralegal to join our legal team. The successful candidate will provide comprehensive support for corporate and commercial transactions, incorporations, limited partnerships, annual maintenance, minute book management, and various corporate filings, in compliance with Alberta and federal corporate regulations.
As a Corporate Paralegal, you will:
Prepare and file documents for:
- Alberta and federal incorporations
- Amendments, continuances, amalgamations, dissolutions, and revivals
- Extra-provincial registrations and renewals across Canada
- Business name and partnership registrations
- Maintain and update corporate records and minute books, both physical and electronic
- Prepare annual returns, resolutions, and other documents related to corporate governance and compliance
- Draft resolutions, share certificates, share transfers, registers, ledgers, and other related documents
- Conduct due diligence, corporate searches (CORES), and name searches (NUANS)
- Assist lawyers with transactions such as asset/share purchases and reorganizations
- Liaise with clients, government agencies (e.g., Alberta Corporate Registry), and other professionals
- Maintain accurate and timely corporate databases
Our ideal candidate would be an experienced and energetic corporate paralegal that can succeed working independently and in a collaborative team environment. Strong attention to detail, excellent time management and communication skills, and an eagerness to learn are imperative to success in this role.
Minimum Requirements:
- Legal Assistant or Paralegal Diploma from a recognized institution
- Minimum 1 year of relevant experience as a corporate paralegal in Alberta
- CORES level 1 Certification
- Exceptional attention to detail and organizational skills
- Strong verbal and written communication abilities
- Ability to manage multiple deadlines in a fast-paced environment
Preferred Qualifications:
- Proficient in Alberta CORES levels 2–3 (preferred)
- Experience with corporate software
