Role Summary
The Secretary plays a key role in supporting the effective governance of the organization by
maintaining accurate records, facilitating communication among board members, and ensuring
compliance with organizational and legal documentation requirements.
Key Responsibilities
Documentation & Record Keeping
- Prepare and maintain accurate records of all Board of Directors meetings, including
agendas and meeting minutes.
- Ensure organizational records are current, organized, and accessible when required.
- Maintain a secure and accurate archive of board documents and official records.
Communication
- Distribute meeting notices, agendas, minutes, and other relevant documents to board
members in a timely manner.
- Handle official correspondence on behalf of the Board of Directors as required.
- Assist with communication between board members and organizational leadership.
- Serve as an authorized signing officer for organizational checks and official documents
when required.
Governance & Compliance
- Ensure the organization complies with all legal and regulatory requirements related to
governance, documentation, and record keeping.
- Maintain custody of the organization's bylaws, policies, and other governance
documents.
- Support the board in adhering to established governance procedures and best practices.
Qualifications
- Must be functionally bilingual: French & English
- Strong organizational and administrative skills.
- Excellent written and verbal communication abilities.
- Attention to detail and accuracy in record keeping.
- Ability to maintain confidentiality and professionalism.
- Previous board, governance, or administrative experience is an asset but not required.
Time Commitment
- 1-2 Board meetings/ month (3-6 hours/ month)
