Law Clerk - Corporate

Our client, a well-established and highly regarded law firm in the north end of Toronto is hiring! They are looking for a senior Corporate Law Clerk to work alongside a senior partner and assist in the smooth running of his practice. This is a full-time permanent position.
Duties & Responsibilities will include:
· Preparation and filing of incorporations, amendments, dissolutions, amalgamations, continuances, renewals etc.;
· Preparation and filing of all filings such as extra-provincial licenses, business names, PPSA registrations, Ontario Securities Commissions filings etc.;
· Ability to complete full range of searches on both Provincial and Federal level;
· Minute book review, highlighting deficiencies in corporate records and rectifying/reorganizing corporate records;
· Annual ongoing corporate maintenance;
· In-depth knowledge of the Provincial, Federal and SEDAR filing and search systems;
· Ability to run a private placement;
· Transactional work such as buying and selling assets/shares with good knowledge of closing documents required together with the ability to prepare such documents and manage the closing;
· Tax based reorganizations, working with tax specialists to implement reorganizations.
Qualifications:
· At least 10 years of relevant work experience working as a corporate law clerk.
· Strong organizations skills and a keen eye for detail.
· Experience working with Clio and MinuteBox is preferred. Client will train.

Pay: $90,000.00-$100,000.00 per year
