Key Responsibilities

Contract Administration

Prepare and review subcontracts, vendor agreements, master service agreements, non-disclosure agreements, and other business agreements using approved and created templates, escalating non-standard terms to the leadership team.
Administer the contract lifecycle from intake through execution, amendment, and close-out, including change order documentation.
Support implementation of a contract lifecycle management platform, including data migration, and maintain record accuracy once it is live.
Track critical dates and obligations: renewals, expiries, milestone deadlines, insurance certificates, bonding requirements, and warranty periods.
Monitor lien and notice deadlines across operating jurisdictions and flag them well in advance, including Ontario Construction Act holdback and prompt payment timelines and U.S. state mechanic's lien requirements.
Maintain the contract template library and keep the register of executed agreements current and accurate.

Corporate Compliance: Canada and United States

Build and maintain a consolidated compliance calendar covering both countries, with documented lead times and evidence of completion.
Prepare and submit corporate registrations, extra-provincial and foreign qualification filings, and annual returns, coordinating with registered agents across operating jurisdictions.
Track contractor licensing and qualifying agent renewals and continuing education requirements.
Maintain corporate records, minute books, and entity organizational documentation.
Administer company policies, attestations, and related compliance training records.

Shareholder and Board Reporting

Compile periodic compliance reporting packages for leadership team review, working to a defined calendar and format.
Assemble supporting documentation and maintain the audit trail behind each reported item.
Flag compliance exceptions, gaps, and approaching deadlines to the COO promptly and in writing.

Outside Counsel Coordination

Act as the day-to-day point of contact for external law firms, coordinating information flow and document requests.
Maintain the matter register, tracking status, responsible firm, and jurisdiction, along with engagement letters and firm contact records.
Review outside counsel invoices against approved budgets and flag variances to the COO.
Chase firms on agreed scope and timelines, and keep internal stakeholders updated on matter status.

Scope and Supervision

Prepares agreements for Executive signature rather than executing them.
Works to approved templates and playbooks. Any deviation from standard terms is escalated to the COO.
Recommends outside counsel engagement and spend. Approval rests with the COO.
Receives regular supervision and review from the COO, particularly through the first year.

What We're Looking For

Required

Three to five years in contract administration, corporate compliance, legal administration, or a law clerk role.
Strong organizational discipline and a track record of managing many concurrent deadlines without letting any slip.
Comfort building and maintaining registers, trackers, and documented processes.
Willingness to learn U.S. compliance requirements and grow into broader ownership of the function.
Clear written communication and sound judgment about what to escalate and when.

Preferred

ILCO law clerk certification, or a paralegal certificate or equivalent credential from another jurisdiction.
Exposure to United States construction documents (AIA, ConsensusDocs) or U.S. corporate filing and licensing requirements.
Experience in construction or another contract-intensive industry.
Familiarity with contract lifecycle management software, or with supporting board or shareholder reporting.
Working knowledge of Canadian construction contracting, including CCDC standard documents and the Ontario Construction Act (holdback, prompt payment, and adjudication).

What We Offer

Base salary of $75,000 to $95,000 CAD, plus performance bonus, benefits, and paid time off.
