Job Purpose:

Corporate Paralegal/Legal Administrative Assistant will report to the General Counsel with respect to all legal matters for the Company. This includes, but is not limited to, corporate, commercial, real estate, financings, M&A, litigation, Executive Equity Ownership Plan (“EEOP”) administration and the general corporate affairs of the Company. We are looking for an experienced Paralegal or Legal Administrative Assistant (5–10 years) with strong corporate-commercial and securities experience who is capable of independently managing corporate records and supporting transactions. This role requires a high level of care and diligence, including tracking and reporting changes in ownership in the plan, updating documents, policies and procedures with respect to the Company and Plan and communicating with the board of directors and primary stakeholders.

Key Responsibilities:

Corporate maintenance, minute books, resolutions, board minutes and share issuances.
Assist with commercial contracts and file management.
Manage transaction deliverables and critical timelines.
Support financings, real estate transactions and M&A.
Manage EEOP system in conjunction with internal management, which shall include preparing reports for executives and primary stakeholders.
Conduct monthly reviews of existing EEOP participant accounts, register new participants and ensure all inquiries made by Plan participants are followed up on.
Perform various reconciliations for year-end tax filings and maintenance of EEOP participant accounts.
Perform necessary data entry and related maintenance of EEOP participant accounts.
Communicate with Chief Financial Officer, EEOP participants and internal stakeholders.
Liaise with external stakeholders – lawyers, accountants, service providers, vendors and registries.
Maintain and organize paper and electronic files, legal library and document management system.
Maintain a system for follow-up dates with respect to the EEOP and corporate, commercial matters.

Qualifications and Experience:

Degree or diploma from an accredited post-secondary institution.
5+ years of work as a corporate legal administrative assistant or corporate paralegal.
Strong working knowledge of corporate registries and filings in B.C.
Experience supporting corporate finance and securities compliance.
Confident communicator with strong drafting and file management skills.
Excellent time management and organizational skills, with the ability to multi-task and prioritize a diverse workload.
Effective written and verbal communication skills with an attention to detail and accuracy.
Ability to work independently and as part of a team, which shall include various individuals from diverse backgrounds.
Ability to handle sensitive data and information and maintain confidentiality and discretion.
Interpersonal skills, which include be questioning versus solely accepting.
Proficient in Microsoft Office with an emphasis on Microsoft Word and Microsoft Excel and proficiency with stock plan management systems.
